📋 TERMS AND CONDITIONS FOR SELLERS

1. INTRODUCTION

Welcome to Biashara Yetu ("Platform", "We", "Us", "Our"). These Terms and Conditions ("Terms") govern your use of our platform as a Seller. By submitting a store application, you agree to be bound by these Terms. If you do not agree, please do not submit your application.

Biashara Yetu is a multi-vendor e-commerce platform that enables sellers to create and manage online stores, list products, and sell to customers across Kenya.

2. ELIGIBILITY

To register as a Seller on Biashara Yetu, you must:

• Be at least 18 years old
• Be a legal resident or registered business entity in Kenya
• Provide accurate, complete, and truthful information during registration
• Have the legal authority to sell the products you list
• Not have been previously banned or suspended from our platform

3. SELLER OBLIGATIONS

As a Seller, you agree to:

• Accurate Information: Provide truthful and up-to-date information about your business, products, and pricing
• Product Quality: Ensure all products listed are genuine, safe, and as described
• Order Fulfillment: Process and fulfill orders promptly as per your stated delivery timelines
• Customer Communication: Respond to customer inquiries within 24 hours
• Legal Compliance: Comply with all applicable Kenyan laws and regulations, including consumer protection and tax laws
• Platform Fees: Pay all applicable fees as per your selected pricing plan

4. PROHIBITED ITEMS

You may NOT sell the following items on Biashara Yetu:

• Illegal or counterfeit goods
• Weapons, firearms, or ammunition
• Drugs, narcotics, or paraphernalia
• Adult content or explicit materials
• Stolen goods or items without clear ownership
• Tobacco, alcohol, or related products
• Hazardous or dangerous materials
• Items that infringe on intellectual property rights
• Live animals or endangered species
• Any item that violates Kenyan law

5. FEES AND PAYMENTS

• Subscription Fees: Sellers must pay the applicable subscription fees based on their chosen plan
• Payment Terms: Fees are due at the beginning of each billing cycle
• Late Payments: Failure to pay fees may result in store withholding or suspension
• Refund Policy: Subscription fees are non-refundable unless otherwise stated
• Price Changes: We reserve the right to adjust pricing with 30 days' notice

6. STORE APPROVAL PROCESS

• All store applications are subject to review and approval by Biashara Yetu
• We reserve the right to approve or reject any application at our discretion
• Approval may take up to 48-72 hours
• You will be notified of the decision via email or WhatsApp
• If rejected, you may reapply after 30 days with additional information

7. STORE WITHHOLDING AND SUSPENSION

Biashara Yetu reserves the right to withhold, suspend, or terminate a store for the following reasons:

• Non-payment: Failure to pay subscription fees on time
• Policy Violation: Breach of these Terms or platform policies
• Fraudulent Activity: Suspicion of fraudulent or deceptive practices
• Customer Complaints: Excessive or unresolved customer complaints
• Legal Reasons: Compliance with legal or regulatory requirements
• Inactivity: Store inactivity for more than 90 days

If your store is withheld, you will receive a notification with the reason and instructions for reactivation.

8. INTELLECTUAL PROPERTY

• You retain ownership of your store content, product images, and branding
• You grant Biashara Yetu a non-exclusive license to display your content on the platform
• You may not use Biashara Yetu's trademarks or branding without written permission
• Biashara Yetu retains ownership of the platform code, design, and intellectual property

9. DATA PRIVACY

• Biashara Yetu collects and stores your business information for platform operations
• Customer data (names, phone numbers, locations) is collected for order fulfillment
• We do not share your personal data with third parties except as required for platform operations
• You agree to handle customer data responsibly and in compliance with Kenyan data protection laws
• You may request deletion of your data by contacting us

10. LIABILITY AND INDEMNIFICATION

• Biashara Yetu provides the platform "as is" and does not guarantee uninterrupted service
• We are not responsible for losses resulting from your business operations
• You agree to indemnify Biashara Yetu against claims arising from your store
• Our liability is limited to the total fees paid by you in the preceding 12 months
• We are not liable for indirect, incidental, or consequential damages

11. TERMINATION

• You may terminate your store at any time by contacting support
• Biashara Yetu may terminate your store for cause (violation of Terms) without prior notice
• Upon termination, your store will be deactivated and products removed
• You remain responsible for any outstanding fees

12. DISPUTE RESOLUTION

• Any disputes arising from these Terms shall be resolved through negotiation
• If negotiation fails, disputes shall be settled by mediation or arbitration in Kenya
• The jurisdiction for legal proceedings shall be the Kenyan courts

13. GOVERNING LAW

These Terms are governed by the laws of the Republic of Kenya.

14. CHANGES TO TERMS

• Biashara Yetu may update these Terms from time to time
• We will notify you of significant changes via email or WhatsApp
• Continued use of the platform constitutes acceptance of the updated Terms
